1. Introduction and Acceptance of Terms

Welcome to winehit.tech (the "Website"), operated by Auralia S.R.L.S., a company registered in Italy with registered office at Via Rosa Raimondi Garibaldi 50, 00145 Roma, Italy (VAT Number: IT14746601005, REA: RM-1543414) ("Company," "we," "us," or "our").
These Terms of Use ("Terms") govern your access to and use of our Website and the purchase of our products, including Wine HIT and Wine HIT PRO (collectively, the "Products"). By accessing or using our Website or purchasing our Products, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Website or purchase our Products.

2. Products Description

Wine HIT and Wine HIT PRO are innovative wine aeration devices that leverage proprietary H.I.T. technology (Holographic Information Transfer) designed to support rapid decanting and sensory optimization. The devices are intended to act on the molecular organization of wine without introducing any chemical substances.
Depending on the wine and conditions of use, the technology may promote changes associated with tannin behavior, including reduced perceived astringency. Results may vary based on wine type, age, grape variety, serving temperature, and individual perception.
Under normal use, Wine HIT is designed to deliver perceptible results in under 3 minutes, while Wine HIT PRO is designed to operate in approximately 30 seconds. The devices are optimized for structured, mature, and tannic red wines. 3. Use of Website

3.1 Eligibility

You must be at least 18 years of age to use this Website and purchase our Products. By using our Website, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into binding contracts.

3.2 Account Registration

Certain features of the Website may require you to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

3.3 Prohibited Conduct

You agree not to: (a) use the Website for any unlawful purpose; (b) attempt to gain unauthorized access to any portion of the Website; (c) interfere with or disrupt the Website or servers connected to the Website; (d) use any automated means to access the Website; (e) reproduce, duplicate, copy, sell, or exploit any portion of the Website without express written permission.

We strive to keep the Website available and operating properly. However, the Website may be unavailable, interrupted, or limited from time to time due to maintenance, updates, technical issues, security measures, or circumstances beyond our reasonable control. 4. Intellectual Property Rights

All content on this Website, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, software, and the compilation thereof (collectively, "Content"), is the property of Auralia S.R.L.S. or its content suppliers and is protected by Italian, European Union, and international copyright, trademark, patent and other intellectual property laws.
The Wine HIT and Wine HIT PRO names, logos, and all related product names, design marks, and slogans are trademarks or service marks of Auralia S.R.L.S. You may not use such marks without our prior written permission.
The H.I.T. (Holographic Information Transfer) technology underlying our Products is proprietary technology protected by applicable intellectual property laws. No license or right is granted to you to use, reproduce, reverse engineer, or otherwise exploit this technology.

5. Product Information and Disclaimers

5.1 Accuracy of Information

We make every effort to display as accurately as possible the characteristics of our Products, including descriptions, images, and specifications. However, we do not guarantee that the descriptions or other content on the Website are accurate, complete, reliable, current, or error-free.

5.2 Product Performance

Results from using Wine HIT and Wine HIT PRO may vary based on wine type, age, grape variety, serving conditions, and individual perception. Any references to taste, aroma, balance, or perceived astringency are indicative and are not guaranteed for every wine or every user.

5.3 Health Claims

We make no medical, therapeutic, or health claims. Our Products are not intended to diagnose, treat, cure, or prevent any disease. Always consume wine responsibly and in moderation.

6. Orders and Payment

6.1 Order Acceptance

All orders placed through our Website are subject to acceptance by us. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in product or pricing information, or suspected fraudulent activity.
The contract is concluded when we send you an order acceptance or shipping confirmation email.

6.2 Pricing

All prices displayed on our Website are in Euros (EUR) and include applicable VAT unless otherwise stated. For deliveries outside the EU (and where applicable), VAT may not apply; import duties/taxes and other charges may be applied by the destination country, unless we expressly state otherwise at checkout.
We reserve the right to change prices at any time without prior notice. The price charged for a Product will be the price in effect at the time the order is placed.

6.3 Payment

We accept various forms of payment as indicated on our Website. All payment information must be accurate and complete. By submitting payment information, you represent and warrant that you are authorized to use the designated payment method.

7. Shipping and Delivery

7.1 Shipping Information

Shipping costs, available delivery methods, and estimated delivery times will be displayed at checkout before you complete your purchase. Delivery times are estimates only and are not guaranteed.
We are not responsible for delays caused by the carrier or circumstances beyond our reasonable control, including (without limitation) customs clearance, weather conditions, strikes, or force majeure events. If we become aware of a material delay, we will contact you where reasonably possible with updated information and, where required by applicable law, provide you with appropriate options (such as waiting for delivery or receiving a refund).
Nothing in this section limits or excludes any rights you may have under applicable consumer protection laws.

7.2 Risk of Loss (Consumers)

For consumer customers, the risk of loss or damage to the Products passes to you when you, or a third party designated by you (other than the carrier), physically acquires possession of the Products.
If you arrange your own carrier that is not offered by us as a delivery option during checkout, the risk of loss or damage passes to you upon delivery of the Products to that carrier.
Nothing in this section affects your statutory rights under applicable law. If a shipment is lost or damaged before delivery, we will provide an appropriate remedy (such as replacement or refund) as required by applicable law.

7.3 Risk of Loss (Business Customers)

For business customers (B2B), unless otherwise agreed in writing (including via Incoterms, where applicable), the risk of loss or damage to the Products passes to you upon delivery of the Products to the carrier.

7.4 Customs, Duties, Taxes and Import Requirements (Outside the EU and Where Applicable)

For deliveries outside the European Union (and for any destination where applicable), unless we expressly state otherwise at checkout, you are responsible for any import duties, customs fees, local taxes, brokerage fees, and any other charges imposed by the destination country. You are also responsible for complying with local import requirements and for providing any information reasonably required for customs clearance.
If a shipment is refused, unclaimed, or returned due to unpaid duties/taxes, failed customs clearance, or incorrect/incomplete delivery details provided by you, we may refund the purchase price in accordance with applicable law, but we may deduct any non-recoverable shipping, return shipping, handling, or customs-related costs we incur.

7.5 Lost, Missing or Damaged Shipments

If tracking indicates delivery but you did not receive the Products, or if the Products arrive damaged, please contact us as soon as reasonably possible so we can assist. To help us investigate and file claims with the carrier where relevant, we may request supporting information (e.g., photos of the packaging and/or the damaged Products). This request does not limit your statutory rights under applicable law.

8. Returns and Refunds

8.1 Right of Withdrawal

In accordance with applicable consumer protection laws, if you are a consumer residing in the EU/EEA or the United Kingdom, you have the right to withdraw from your purchase within 14 (fourteen) days from the day on which you, or a third party designated by you (other than the carrier), physically acquires possession of the Products, without giving any reason and without incurring any penalty.

8.2 How to Exercise the Right of Withdrawal

To exercise your right of withdrawal, you must inform us of your decision by sending a clear written statement (e.g., by email to info@winehit.tech or by post to our registered address) before the expiration of the withdrawal period.

8.3 Return of Products (EU/EEA/UK Consumers)

If you withdraw from the contract, you must return the Products without undue delay and in any event no later than 14 (fourteen) days from the day on which you communicate your withdrawal to us. The deadline is met if you send back the Products before the 14-day period has expired.
You should return the Products complete with all accessories and documentation and packaged securely. You may handle the Products only to the extent necessary to establish their nature, characteristics, and functioning.
You are responsible for the direct cost of returning the Products, unless the Products are defective, we delivered incorrect items, we have expressly agreed to bear the return costs, or applicable law provides otherwise.

8.4 Refunds (EU/EEA/UK Consumers)

We will reimburse all payments received from you, including the original delivery costs (except for supplementary costs arising if you chose a type of delivery other than the least expensive standard delivery offered by us), without undue delay and in any event no later than 14 (fourteen) days from the day on which we are informed of your decision to withdraw.
We may withhold the reimbursement until we have received the Products back or you have supplied evidence of having sent back the Products, whichever occurs first.
We will use the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise. You shall not incur any fees as a result of such reimbursement.
Where applicable (e.g., deliveries involving import procedures), customs duties, import taxes, and other charges paid to third parties/authorities are not refundable by us.

8.5 Diminished Value

You are liable for any diminished value of the Products resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the Products.

8.6 Withdrawal / Returns for Customers Outside the EU/EEA/UK

If you reside outside the EU/EEA/UK, you may have mandatory consumer rights under your local laws. Nothing in these Terms limits rights that cannot be excluded under applicable law.
Where no statutory withdrawal right applies, as a courtesy we may allow you to withdraw under conditions similar to those above, provided that:

  1. you inform us of your decision within 14 (fourteen) days from delivery;
  2. you return the Products within 14 (fourteen) days from your withdrawal notice;
  3. you are fully responsible for all costs associated with returning the Products, including return shipping, customs duties, taxes, brokerage fees, and any other charges; and
  4. the refund will be processed only after receipt and inspection of the returned Products at our facility in Italy.

For such courtesy returns, unless required otherwise by applicable law, refunds cover the purchase price of the returned Products only, and do not include original shipping charges or any customs duties/taxes/fees paid to third parties/authorities. We may deduct any non-recoverable costs we incur due to refused, unclaimed, or customs-blocked returns.

9. Warranty and Legal Guarantees

9.1 EU/EEA/UK Consumers – Legal Guarantee of Conformity

If you are a consumer residing in the European Union/EEA or the United Kingdom, you benefit from a statutory legal guarantee of conformity. Where applicable, this legal guarantee generally applies for 24 months from delivery and provides remedies in case of lack of conformity, in accordance with mandatory consumer protection laws. This statutory guarantee is provided by law and is in addition to any commercial warranty we may offer.

9.2 Commercial Warranty (Worldwide)

In addition to any mandatory rights you may have under applicable law, Auralia S.R.L.S. provides a commercial warranty covering manufacturing defects for 24 months from the date of delivery of the Product to the first consumer purchaser, unless a longer period is required by applicable law.
This commercial warranty does not cover damage resulting from misuse, negligence, accident, unauthorized modifications, improper storage, failure to follow instructions, or normal wear and tear.

9.3 How to Make a Warranty Claim

To make a warranty claim, please contact us with proof of purchase and a description of the defect (and, where relevant, photos and/or video).

Where required by applicable law, we will provide the remedies available under that law. Otherwise, under this commercial warranty, we will, at our discretion, repair or replace the defective Product or provide a refund.

Nothing in this Warranty section limits or excludes any consumer rights that cannot be excluded under applicable law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AURALIA S.R.L.S. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE OR PRODUCTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE OR PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.
NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE OUR LIABILITY FOR (I) DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, (II) FRAUD OR FRAUDULENT MISREPRESENTATION, (III) GROSS NEGLIGENCE OR WILLFUL MISCONDUCT WHERE SUCH LIMITATION IS NOT PERMITTED, (IV) PRODUCT LIABILITY WHERE SUCH LIABILITY CANNOT BE EXCLUDED OR LIMITED, OR (V) ANY OTHER LIABILITY OR CONSUMER RIGHTS THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

11. Indemnification (Business Customers Only)

If you are a business customer (B2B), you agree to indemnify, defend, and hold harmless Auralia S.R.L.S., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to (i) your breach of these Terms, or (ii) your unlawful use of the Website or Products, to the extent permitted by applicable law.

12. Privacy

13. Third-Party Links

Our Website may contain links to third-party websites or services that are not owned or controlled by Auralia S.R.L.S. We reserve the right to modify these Terms at any time by posting the revised version on the Website. Changes will apply from the date they are posted (or from any later effective date stated in the updated Terms) and will apply on a prospective basis.

The Terms applicable to your purchase are those in force at the time you place your order. We encourage you to review these Terms periodically.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Italian Republic, without regard to its conflict of law provisions.

If you are a consumer, nothing in this section limits the application of mandatory consumer protection laws of your country of residence, where applicable, and nothing prevents you from bringing proceedings in the courts of your place of residence where mandatory consumer protection laws grant you that right.

Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Rome, Italy, unless otherwise required by applicable mandatory consumer protection laws.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent. If such modification is not possible, the relevant provision shall be deemed deleted. The validity and enforceability of the remaining provisions shall not be affected.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Website, constitute the entire agreement between you and Auralia S.R.L.S. regarding your use of the Website and purchase of Products, superseding any prior agreements.
